MSA and SaaS Matter Packs, ready for counsel review.

The industry

The subscription crosses the border. The duties follow.

A SaaS contract signed at home can still create a permanent establishment, a withholding obligation, or a data-transfer file the destination regulator will ask to see. Open-source terms in the stack can block the same deal if nobody scoped the licences.

Orbid turns those questions into a Matter Pack built from fixed-fee modules before anyone bills an hour. Licensed local counsel in the destination market reviews the pack, so the MSA, the data terms and the tax position rest on the same facts.

Data transfer
A controller in one market and servers in another can sit under the GDPR and a local data law at the same time.
Permanent establishment
A local customer, a local engineer or a local invoice can be enough for the destination tax authority to claim a PE.
Open source
Copyleft terms in a shipped library can force disclosure the commercial MSA never contemplated.

What we scope

Four things that decide whether the MSA holds.

A hand resting on a laptop keyboard, about to type

01

Master subscription and order form

Governing law, liability, service levels and the order mechanics. The Matter Pack prices the MSA as a finished document, not as a weekly redline.

02

Cross-border data terms

Who is controller, who is processor, which transfer tool applies, and what the destination regulator will expect to see. Licensed local counsel reviews the data schedule against both laws.

03

Permanent establishment and withholding

Whether a local presence, a local hire or a local invoice creates a PE or a withholding duty. The Matter Pack lists the facts counsel needs before the first invoice goes out.

04

Open-source licence review

Which licences sit in the shipped stack, which ones force disclosure, and what the MSA has to say about them. Counsel reviews the licence list against the commercial terms.

Contract clusters we name first

Sales and services

SaaS or MSA the destination buyer will actually sign — not an origin form pasted across the border.

Data privacy

A DPA pointer in the same Matter Pack if the product touches personal data. That is a pointer, not a privacy opinion.

Channel

Reseller paper that can silently become exclusive distribution under destination habit.

Corridors that show up

  1. 01China / Hong Kong → Singapore. English SaaS and investment paper is common. Listed: scope accepted, standby counsel not promised.
  2. 02China → Germany. Standard terms face content control. Live corridor.
  3. 03United States, listed. State contract law and outbound privacy paper. Scope is accepted. No counsel card is invented.

Questions

Must the first SaaS Matter Pack include a DPA?

If the product touches personal data, name the DPA in the same pack as a pointer. Orbid does not give a privacy-law opinion.

Can a reseller form be exclusive without saying so?

Under destination habit, an origin exclusivity clause can become exclusive distribution. The pack asks which language controls.

Is weekly SOW flow a single matter?

No. That is an annual module. Each SOW still gets its own Matter Pack.

Bring us a deal.

A contract, a distributor, a supplier, a first hire or a new market.

Orbid will tell you what it takes and what it costs.
