Industrial

OEM and equipment paperwork, scoped before it reaches counsel.

The industry

A machine can ship. Its file often cannot.

Equipment that is legal to sell at home still needs a technical file, an importer who can produce it, and a destination-country type approval that names the right party. Any one of those can hold the crate at the port.

Orbid turns that paperwork into a Matter Pack built from fixed-fee modules before anyone bills an hour. Licensed local counsel in the destination market reviews the pack, so the commercial contract and the conformity file name the same importer.

2006/42/EC
The Machinery Directive requires a technical file and a declaration of conformity before the CE mark goes on.
Importer
The EU importer must keep the technical file available for ten years after the last unit is placed on the market.
Type approval
Destination-country approval often sits with the named local entity, not with the factory that built the machine.

What we scope

Four things that decide whether the crate clears.

01

CE file and declaration of conformity

The Matter Pack lists the applicable directives, the person who keeps the technical file, and the wording of the declaration. Licensed local counsel reviews that list against the destination market before the mark goes on.

02

Importer of record and file custody

Who is named as importer, who holds the technical file, and what happens if that party changes. The Matter Pack settles custody before a shipment is held for missing documents.

03

Destination type approval

Some markets require a local type approval that sits with a named entity. The Matter Pack fixes who holds it, what transfers on termination, and the wording the authority will accept.

04

After-sales and spare-parts terms

Warranty, field service, spare-parts supply and the party who speaks to the regulator after a defect. Counsel reviews the after-sales contract against the same conformity file.

Procurement

Supply and OEM paper for a machine that has to run under destination safety rules.

Channel

Service and spare-parts appointment next to the sale, not as a silent extra.

Employment

Posted technicians versus local hires — Germany treats them as different instruments.

Corridors that show up

  1. 01China → Germany. Your own standard terms face AGB control. Live corridor.
  2. 02China → Vietnam. A factory quote is not yet the supply agreement the buyer will sign.
  3. 03Listed ASEAN. Scope is accepted. Delivery waits on licensed local confirmation.

Questions

Is a service appointment in the supply Matter Pack?

Only if you name it as a defined set. Spare-parts paper that was not named is a change order.

Do posted workers use the same instrument as local hires?

In Germany, no. Write both as facts before hours start.

Does Orbid choose the Incoterm?

No. The Matter Pack records the term you already assert. Licensed local counsel reviews it.
