Consumer

Distribution and licensing Matter Packs for consumer brands.

The industry

The brand arrives first. The filing often does not.

A consumer brand that enters a first-to-file market without a local mark, a written agency term or a product-liability allocation can lose the name, owe indemnity, or fund a recall it never priced. Each one is a separate agreement under the destination country's law.

Orbid turns that paperwork into a Matter Pack built from fixed-fee modules before anyone bills an hour. Licensed local counsel in the destination market reviews the pack, so the licence, the agency term and the liability clause sit on the same facts.

First to file
In many destination markets the first filer owns the mark, even if another brand has used it for years at home.
86/653/EEC
The Commercial Agents Directive can require indemnity or compensation when a European agent is terminated.
Product liability
The party named as importer or distributor can carry the claim, not only the factory that made the goods.

What we scope

Four things that decide whether the brand holds.

Two people reviewing a printed contract across a table

01

Trademark filing and licence

Who files, who owns the registration, and what the local licensee may do with the mark. The Matter Pack settles ownership before a third party files first.

02

Distributor and agent appointment

Territory, exclusivity, sales targets and the indemnity that applies if the relationship ends. Counsel reviews the term against the destination agency rules.

03

Agent indemnity on termination

Whether Directive 86/653 or a local equivalent applies, and how the Matter Pack prices that indemnity before you appoint. Licensed local counsel writes the termination wording the destination court will read.

04

Product liability and recall roles

Who is named as importer, who handles a claim, and who funds a recall. The Matter Pack allocates those roles before the first shipment lands.

Contract clusters we name first

Channel

Brand and retail appointment — exclusivity that can lock a territory longer than the first season.

Procurement

Supply into a destination warehouse, with inspection and recall roles named.

Data privacy

Customer lists and after-sales telemetry if devices phone home.

Questions

Is exclusivity always in the first Matter Pack?

Only if you name it. An origin exclusivity clause pasted unmarked is how a season becomes a locked territory.

Does after-sales data need its own instrument?

If telemetry leaves the destination, name the path in the pack. Orbid records it. Counsel reviews it.

Can a first retail appointment sit on a retainer?

No. A first appointment is a single matter. A net of country retailers is a module.
